Welcome to Z Assist! These Terms and Conditions ("Terms") govern your use of the Z Assist website at http://www.zassist.co.in (the "Site") and the services offered by Z Assist Consumer Solutions (doing business as Z Assist) ("we," "us," or "our"), including the sale of extended warranty and damage protection plans for appliances, mobile phones, and tablets ("Services").

By accessing or using our Site and Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our Site or Services.

1. Description of Services Z Assist provides extended warranty and damage protection plans for various electronic appliances, mobile phones, and tablets. The specific coverage, duration, and terms of each plan will be detailed in the respective plan agreement provided at the time of purchase or made available through our Site.

2. Eligibility To use our Services and purchase a Plan, you must be at least 18 years of age and capable of entering into a binding contract under Indian law. By using our Services, you represent and warrant that you meet these eligibility requirements.

3. Account Registration To purchase a Plan or access certain features of our Services, you may need to register for an account. You agree to:

   • Provide accurate, current, and complete information during the registration process.

   • Update such information to keep it accurate, current, and complete.

   • Safeguard your account password and be responsible for any activities or actions under your account, whether or not you have authorized such activities or actions.

   • Notify us immediately of any unauthorized use of your account.

4. Plan Purchases and Payment

   • Pricing: All prices for our Services will be as quoted on our Site or through our authorized sales channels at the time of purchase. Prices are inclusive of applicable taxes unless stated otherwise and are subject to change without notice.

   • Payment: You agree to pay all fees and applicable taxes incurred by you or anyone using an account registered to you. We may use third-party payment processors to handle financial transactions. You authorize us and these third-party payment processors to charge your chosen payment method for the Services you purchase.

   • Plan Documents: Upon successful purchase, you will receive documentation outlining the specific terms, coverage, exclusions, claim process, and other relevant details for your chosen Plan. It is your responsibility to review these documents carefully. These documents form an integral part of your agreement with us.

5. User Conduct You agree not to use the Site or Services for any unlawful purpose or in any way that:

   • Interrupts, damages, impairs, or renders the Services less efficient.

   • Violates or infringes the rights of any person, firm or company (including, but not limited to, rights of intellectual property, rights of confidentiality or rights of privacy).

   • Involves sending any material that is defamatory, offensive, or of an obscene or menacing character, or that may cause annoyance, inconvenience or needless anxiety.

   • Attempts any unauthorized access to any part or component of the Services.

   • Involves the use of any automated system, including without limitation "robots," "spiders," "offline readers," etc., to access the Service in a manner that sends more request messages to our servers than a human can reasonably produce in the same period by using a conventional on-line web browser.

6. Intellectual Property All content on the Site, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, is the property of Z Assist or its content suppliers and is protected by Indian and international copyright, trademark, and other intellectual property laws. You may not systematically extract and/or re-utilize parts of the contents of the Site without our express written consent. In particular, you may not utilize any data mining, robots, or similar data gathering and extraction tools to extract (whether once or many times) for re-utilization any substantial parts of this Site, without our express written consent.

7. Term and Termination These Terms will remain in full force and and effect while you use the Services or hold an active Plan. We may terminate or suspend your access to the Services and/or terminate your Plan(s) at any time, for any reason, including but not limited to a breach of these Terms, non-payment of fees, or fraudulent activity, without prior notice or liability, except as may be required by applicable law or as stipulated in your Plan agreement. Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

8. Disclaimer of Warranties The Site and Services are provided on an "as is" and "as available" basis. Z Assist makes no representations or warranties of any kind, express or implied, as to the operation of the Site or the information, content, materials, or products included on the Site, or the suitability or effectiveness of the protection plans for your specific needs, other than as expressly set out in the specific Plan agreement. To the full extent permissible by applicable law, Z Assist disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose. Z Assist does not warrant that the Site, its servers, or e-mail sent from Z Assist are free of viruses or other harmful components. You expressly agree that your use of the Site and Services is at your sole risk.

9. Limitation of Liability To the fullest extent permitted by applicable law, Z Assist, its affiliates, officers, directors, employees, agents, suppliers, or licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Services; (b) any conduct or content of any third party on the Services; (c) any content obtained from the Services; (d) unauthorized access, use, or alteration of your transmissions or content; or (e) any matter relating to the Plan itself, except as expressly provided in the specific Plan agreement.

   Our total liability to you for any claim arising out of or relating to these Terms or the Services or any Plan shall not exceed the amount paid by you for the specific Service or Plan giving rise to the claim in the twelve (12) months preceding the claim.

10. Indemnification You agree to indemnify, defend, and hold harmless Z Assist, its officers, directors, employees, agents, licensors, suppliers, and any third-party information providers to the Service from and against all losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from any violation of these Terms by you or any other liabilities arising out of your use of the Site or Services.

11. Governing Law and Dispute Resolution These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be referred to and finally resolved by arbitration in Thane, Maharashtra, India, in accordance with the Arbitration and Conciliation Act, 1996, as amended from time to time. The arbitration shall be conducted by a sole arbitrator appointed by mutual consent. The language of the arbitration shall be English. The award of the arbitrator shall be final and binding on the parties.

    Subject to the above, the courts in Thane, Maharashtra, shall have exclusive jurisdiction.

12. Changes to Terms We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect by posting a notice on our Site or by sending you a notification. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Service.

13. Severability If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

14. Waiver No waiver by Z Assist of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Z Assist to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

15. Entire Agreement These Terms, together with our Privacy Policy and any specific Plan agreement documents provided to you, constitute the entire agreement between you and Z Assist regarding your use of the Site and Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter.
